Q. What is being announced?

A.  The completion of KORE’s acquisition of ASPIDER-NGI, a leading provider of advanced connectivity, core network and eSIM solutions.

Q. Why has KORE acquired ASPIDER-NGI?

A.  KORE is expanding its IoT and core network managed services portfolio and strengthening its Europe-Middle East-Africa (EMEA) and Asia-Pacific presence through the acquisition of ASPIDER-NGI.

The acquisition of ASPIDER-NGI demonstrates KORE’s commitment to global growth and innovation. With ASPIDER-NGI, KORE now delivers comprehensive managed network services and solutions to the world’s leading enterprises and application solution providers. Also, KORE furthers its leadership position as the world’s largest independent IoT Solutions provider and cements its leadership role in the global deployment of eSIM capabilities.

Adding ASPIDER-NGI not only provides critical mass and an improved pan-European value proposition, but also extends the company into Africa, a continent that is projected to have high growth rates in the IoT area.

Finally, KORE expands its major carrier relationships with the acquisition of ASPIDER-NGI, not just in Europe but also global carrier relationships that enable eSIM sales and growth.

Q. What is the strategic rationale?

A.  KORE’s deep IoT knowledge, experience and global reach in providing multiple connectivity services options across multiple geographic regions, together with ASPIDER-NGI’s talented team and innovative technology in core network managed services, security, IoT solutions (including eSIM), and voice and SMS services, will enable our customers to benefit from unmatched IoT capabilities and differentiated, next-generation solutions and services.

This acquisition also strengthens KORE’s operations and employee base in Europe and Asia-Pacific to even better serve our global customer base.

Q. Why ASPIDER-NGI?

A.  In business for nearly 20 years, ASPIDER-NGI provides ‘as-a Service’ infrastructure for mobile access, applications, and connectivity services leveraging core network and value added services across voice, data, and messaging. ASPIDER-NGI is able to provision advanced connectivity services to leading companies and carriers across geographies with its own core network. The company has also developed next-generation eSIM technology to deliver global IoT simplicity and customer value. These capabilities are highly complementary to KORE’s existing connectivity services and eSIM focus, as well as align well geographically to expand KORE’s global footprint.

Q. What are Advanced Connectivity and eSIM capabilities?

A.  Advanced Connectivity is the combination of a core network, a comprehensive eSIM ecosystem and other connectivity technologies that enable a wide-range of IoT and mobile use cases and drive big data services.

KORE’s eSIM ecosystem is comprised of a single, remotely programmable SIM card (eUICC), subscription management platform, access to global connectivity with multiple carriers, and eSIM profile orchestration.

KORE’s advanced connectivity management and eSIM capabilities simplify the complexity of navigating evolving network technologies or complex logistical processes for customers’ IoT deployments with a single SIM by eliminating the need for physical SIM swaps across multiple cellular technologies or carriers via seamless, remote MNO provisioning. This capability enables customers to avoid costly truck-rolls for installed devices and streamline supply chain and logistics management.

KORE’s unique solution mitigates the operational risks of unforeseen network sunsets or technology changes while minimizing total cost of ownership over the lifetime of customers’ “things” and maximizing return on their IoT investments.

Q.  What value will the acquisition bring to existing KORE customers?

A.  The combined strength of two market-leading companies and their people, products and technology will create the best advanced connectivity and core networking capabilities available in the marketplace. ASPIDER-NGI customers can be secure in their plans to roll out advanced connectivity and core network managed services regionally or globally with the full support of the global KORE organization.

Q.  What value will the acquisition bring to ASPIDER-NGI customers?

A.  KORE can make our considerable financial and technological resources available to ASPIDER-NGI’s customer base and new prospects. We will also continue to invest in product R&D which will yield new functionality and best-in-class solutions for all customers.

KORE also brings complementary capabilities beyond connectivity and carrier management and network and security management, such as application management and data-as-a-service, endpoint lifecycle management, and reporting and analytics, which will make a robust new solution set available for ASPIDER-NGI customers.

Q. How much of this deal is based on technology and product functionality versus geographic expansion?

A.  The deal is based on both technology and geographic expansion. KORE has a strong North American presence as well as a growing presence in Europe, Latin America, and Asia-Pacific. ASPIDER-NGI has been more focused on Europe and Africa and has been working to establish an increasingly stronger presence in Asia-Pacific. The combination of the two companies establishes a clear global leadership position for the new organization moving forward.

Because we offer IoT and mobile solutions, any deal must also be based on technology. Both companies bring their own unique strengths to the expanded KORE portfolio. With the acquisition, we will be able to utilize the best available capabilities and technology from both KORE and ASPIDER-NGI offerings.

Q. What are the companies’ current offerings?

A.  KORE offers a comprehensive portfolio of IoT management capabilities including IoT strategy and readiness, connectivity and carrier management, application management and data-as-a-service, network and security management, reporting and analytics, and endpoint lifecycle management to more than 6,200 customers across the globe.

ASPIDER-NGI offers ‘as-a Service’ infrastructure for mobile access, applications, and connectivity services leveraging core network and value added services across voice, data, and messaging, including the eSIM based IoT eConnect product.

Q. Will KORE support ASPIDER-NGI’s products? How much of ASPIDER-NGI’s existing product line will remain?

A.  KORE will continue to support all current products offered to our expanded customer base. The complete product roadmap will be developed and communicated in a timely fashion with our customers.

Q. What is the timeframe in which you will have a product plan for your customers?

A.  Our teams will be working closely together to develop a cohesive portfolio plan and roadmap. We expect to be able to share it in Q2 2019.

Q.  What are the next steps?

A.  The acquisition is officially closed as of today. We have joint integration teams currently engaged to plan and execute integration activities related to the acquisition. In the meantime, the organization will move forward as separate KORE and ASPIDER-NGI brands, noting ASIPDER-NGI is a KORE-owned company.

Q.  How will KORE and ASPIDER-NGI employees be impacted?

A.  Change is inevitable with any acquisition. We want to move forward as quickly as possible to make changes that leverage the new organization. At the same time, we want to include the appropriate leaders from both organizations to make sound business decisions as we move forward.

Q.  How many employees does ASPIDER-NGI have?

A.  ASPIDER-NGI has a base of 85 employees. ASPIDER-NGI’s management team and its employees will remain with KORE.

Q.  What is the timeframe and expectation between agreement and close?

A.  The agreement is officially closed.

Q. What is the value of the deal? What is the financial impact of the deal?

A.  As a privately-held company, KORE does not disclose financial information publicly.

Q.  Will ASPIDER-NGI be a subsidiary or will it be rolled into the broader KORE organization?

A.  While the name will continue on separately for the near future, the organization and its offerings will be fully integrated into KORE.

Q.  How many locations does ASPIDER-NGI have and where are they?

A.  ASPIDER-NGI is headquartered in Woerden, the Netherlands and has additional presence in Malta, New-Zealand, the UK and France.

Q.  Will KORE keep the ASPIDER-NGI office or combine it with other KORE offices?

A.  Fortunately, KORE and ASPIDER-NGI co-locate in Woerden today, so that close collaboration will continue unchanged.
